Terms of Use

These Terms of Use govern your access to and use of Harmonica's website, application, APIs, and related services (together, the "Services"). By accessing or using the Services, you agree to these Terms. If you use the Services for an organization, you confirm that you have authority to accept these Terms on its behalf.

1. Who may use Harmonica

You must be able to enter into a legally binding agreement to use the Services. The Services are not directed to children under 16, and we do not knowingly collect Personal Data from children under 16. If you are under 16, do not use the Services or provide Personal Data to us.

2. Accounts and access

Some Services require an account. You are responsible for providing accurate information, keeping your sign-in details confidential, and all activity carried out through your account. Contact us promptly if you believe your account has been accessed without permission.

You may not share account access in a way that bypasses plan, security, or access controls. Organizations are responsible for managing the permissions they grant to their users and participants.

3. The Services

Harmonica provides tools for structured conversations, participant input, facilitation, collaboration, and AI-generated synthesis. We may improve, modify, or discontinue parts of the Services over time. We will use reasonable efforts to keep the Services available, but availability may be affected by maintenance, incidents, third-party services, or circumstances outside our control.

Harmonica is a software and facilitation tool. It is not legal, financial, medical, employment, or other professional advice. You are responsible for deciding whether information or outputs from the Services are appropriate for your situation.

4. Your content

You retain your rights in the content, files, documents, responses, and other material that you submit to the Services ("Your Content"). You grant Harmonica a non-exclusive, worldwide license to host, store, reproduce, transmit, display, and process Your Content as needed to provide, secure, maintain, and improve the Services, consistent with our Privacy Policy.

You are responsible for Your Content and for having the rights, permissions, and lawful basis required to submit it and use it through the Services. Your Content must not violate the law, these Terms, or another person's rights.

We do not use your session content to train general AI models or share it with AI providers for model development purposes, as described in our Privacy Policy.

5. Hosts and participants

Hosts are responsible for how they configure and use their sessions, what they ask participants to provide, and who they invite. Hosts should give participants any notices required by applicable law and should avoid collecting information they do not need.

Participants are responsible for the content they contribute and for respecting the instructions and boundaries of the session they join. A participant's use of a host's session does not create an employment, agency, or other relationship with Harmonica.

6. AI-generated outputs

The Services may generate questions, summaries, themes, insights, recommendations, or other outputs using automated systems. These outputs may be incomplete, inaccurate, or unsuitable for a particular purpose. Review them before relying on them, sharing them, or using them to make decisions about people or organizations.

You are responsible for the decisions you make and the actions you take based on the Services. Do not treat an AI-generated output as a statement of fact without appropriate human review.

7. Acceptable use

You may not use the Services to:

  • Break the law, infringe another person's rights, or facilitate harmful or fraudulent activity.
  • Upload malware, malicious code, or content designed to disrupt the Services.
  • Attempt to gain unauthorized access to accounts, data, systems, or networks.
  • Probe, scan, reverse engineer, or bypass security or usage controls, except where applicable law does not permit that restriction.
  • Interfere with the Services, overload them, or use them in a way that creates unreasonable risk or cost.
  • Impersonate another person or misrepresent your relationship with an organization.
  • Use the Services to make high-impact decisions about people without appropriate human review and safeguards.

8. Third-party services

The Services may connect with or rely on third-party services, including payment, authentication, hosting, analytics, calendar, communication, and AI providers. Your use of a third-party service may be subject to that provider's terms and privacy policy. We are not responsible for third-party services that we do not control.

If you authorize a connection, you are responsible for selecting the account and permissions that should be connected. You may disconnect an integration through the available controls or by contacting us.

9. Paid services

Some features require payment. Prices, taxes, billing frequency, renewal, cancellation, and any applicable refund terms are shown at the time of purchase or in a separate order or subscription agreement. Payment processing may be handled by a third-party payment provider, whose terms also apply to the payment transaction.

You authorize the applicable charges when you purchase or subscribe to a paid Service. If a payment fails or an account becomes overdue, we may limit or suspend access to paid features after providing any notice required by applicable law.

10. Harmonica's intellectual property

The Services, including their software, design, branding, documentation, and content provided by Harmonica, are owned by or licensed to Harmonica and are protected by applicable intellectual property laws. These Terms give you permission to use the Services, not ownership of them.

Harmonica's name, logos, and product names may not be used without our prior written permission, except for accurate references to the Services.

11. Feedback

If you send us suggestions, ideas, or other feedback about the Services, you give us permission to use that feedback without restriction or compensation. This does not give us ownership of Your Content.

12. Suspension and termination

You may stop using the Services at any time. We may suspend or terminate access if you breach these Terms, create security or legal risk, fail to pay amounts due, or if we discontinue the relevant Service. We will consider the circumstances and provide notice where required by applicable law.

When access ends, provisions that by their nature should continue will remain in effect, including provisions concerning Your Content, intellectual property, disclaimers, limitations of liability, and dispute-related obligations. Our Privacy Policy describes how data is handled after account or session deletion.

13. Disclaimers

To the maximum extent permitted by applicable law, the Services are provided on an "as available" and "as is" basis. Harmonica does not promise that the Services will be uninterrupted, error-free, secure in every circumstance, or suitable for every use. We disclaim warranties that cannot be excluded by law only to the extent the law permits.

14. Liability

To the maximum extent permitted by applicable law, Harmonica will not be responsible for indirect, incidental, special, consequential, exemplary, or punitive loss, or for loss of profits, revenue, business opportunity, goodwill, or data arising from or related to the Services.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for fraud or for personal injury caused by negligence where such exclusion or limitation would be unlawful.

15. Changes to these Terms

We may update these Terms as the Services evolve or as required by law. When a change is material, we will provide reasonable notice through the Services, email, or another appropriate channel. Your continued use of the Services after updated Terms take effect means that you accept the updated Terms.

16. General terms

If any provision of these Terms is found unenforceable, the remaining provisions will continue in effect. A failure to enforce a provision is not a waiver of our right to enforce it later. These Terms and the Privacy Policy describe the agreement between you and Harmonica about the Services, except where a separate written agreement applies.
